1. Introduction
1.1. These terms and conditions (“T&Cs”) govern the UAB “Releaso” (“Promoter”, “We”) social media giveaway titled “Building Releaso Together” – Instagram & X Giveaway (the “Giveaway”) conducted on Instagram and X (Twitter).
1.2. By participating in the Giveaway, you (“Participant”, “You”) agree to be bound by these T&Cs and the decisions of the Promoter, which are final and binding.
1.3. The Giveaway is organized by UAB “Releaso,” with its registered address in Vilnius at Žalgirio g. 88-101, LT-09303. UAB “Releaso” is a Virtual Asset Service Provider registered in Lithuania under registration number 306774870.
1.4. These T&Cs should be read in conjunction with our general Terms of Service (https://releaso.io/terms-of-use/) and Privacy Policy (https://releaso.io/privacy-policy/).
2. Eligibility
2.1. The Giveaway is open to individuals aged 18 years or older, residents of the European Union and European Economic Area.
2.2. Employees of UAB “Releaso”, their immediate family members (spouse, parents, children, siblings and their respective spouses, regardless of where they live)1 or persons living in the same households of such employees, whether or not related, are not2 eligible to participate.
2.3. Participants must have a valid and public Instagram and/or X (Twitter) account. (Participants can enter on one or both platforms as per the entry methods outlined below).
2.4. Participation is void where prohibited or restricted by law. Participants are responsible for ensuring their participation is lawful in their jurisdiction.
2.5. One entry per person per social media platform is allowed. Multiple entries from the same person on the same platform will be disqualified.
3. Giveaway Period
3.1. The Giveaway begins on May 20, 2025 at 16:00 CET and ends seven (7) days later on May 27, 2025 at 16:00 CET (the “Giveaway Period”).
3.2. Entries received outside the Giveaway Period will not be considered. The Promoter’s computer is the official time-keeping device for the Giveaway.
4. How to Enter
4.1. To enter on Instagram:
4.1.1. Follow the official UAB “Releaso” Instagram account (@goreleaso).
4.1.2. Like the Giveaway post on Instagram.
4.1.3. Comment under the Giveaway post on Instagram with your idea for a feature or currency you would like to see launched first by Releaso.
4.2. To enter on X (Twitter):
4.2.1. Follow the official UAB “Releaso” X (Twitter) account (@ReleasoApp).
4.2.2. Retweet (RT) the Giveaway post on X (Twitter).
4.2.3. Comment under the Giveaway post on X (Twitter) with your idea for a feature or currency you would like to see launched first by Releaso, and tag one (1) friend. 4.3. Entries must not contain material that is offensive, defamatory, discriminatory, or otherwise inappropriate, or that infringes any third-party rights.
5. Prize
5.1. There will be a total of four (4) winners selected: two (2) winners from eligible Instagram entries and two (2) winners from eligible X (Twitter) entries. Each winner will receive fifty (50) USDС (USD Coin) (the “Prize”).
5.2. The Prize is non-transferable, non-negotiable, and cannot be exchanged for cash or any other alternatives.
5.3. The value of USDС may fluctuate. The Promoter is not responsible for any change in the Prize value due to market volatility or other factors. The value of the prize is determined at the time of awarding.
5.4. The Winner is responsible for any and all applicable taxes and fees associated with Prize receipt and use.
5.5. The Promoter reserves the right to substitute the Prize with another prize of equivalent or greater value if the original Prize becomes unavailable for any reason.
6. Winner Selection
6.1. Two (2) winners from Instagram entries and two (2) winners from X (Twitter) entries will be selected by a random draw conducted using random.org from all eligible entries received on each respective platform during the Giveaway Period that have complied with section 4.
6.2. The random draw will take place on or around June 4, 2025 (approximately 7 days after the end of the Giveaway Period).
6.3. The odds of winning depend on the number of eligible entries received on each platform.
7. Winner Notification
7.1. The winner(s) will be notified via direct message (DM) on the platform of their entry (Instagram or X (Twitter)) within two (2) business days of the winner selection. Winners may also be announced on Releaso’s Instagram Story and/or X (Twitter) feed, subject to their consent where required.
7.2. The winner(s) must respond to the notification within three (3) business days of the notification being sent to claim the Prize. Response must include acceptance of the Prize and any information reasonably requested by the Promoter to deliver the Prize (see section 8).
7.3. If a winner fails to respond within the specified time, is found to be ineligible, or fails to comply with these T&Cs, the Prize will be forfeited, and an alternative winner may be selected at random from the remaining eligible entries from that specific platform. The Promoter is not obliged to select an alternative winner.
8. Prize Delivery
8.1. To receive the Prize, the winner(s) will be required to provide a valid USDС wallet address compatible with the Solana network. This information must be provided via direct message as instructed in the winner notification.
8.2. The Promoter is not responsible for any losses or damages resulting from incorrect, incomplete, or incompatible wallet addresses provided by the winner(s). It is the winner’s responsibility to ensure the provided wallet address is correct and secure.
8.3. The Prize will be sent to the provided wallet address within three to five (3-5) business days of the winner successfully claiming the Prize and providing the necessary wallet information. Transaction fees for sending the prize will be covered by the Promoter, unless specified otherwise.
8.4. Winners should be aware that blockchain transactions are irreversible.
9. Data Protection and Privacy
9.1. By participating in the Giveaway, Participants consent to the collection, processing, and storage of their personal data (including their social media handle, name if provided, and, if applicable, their wallet address) by the Promoter for the purposes of administering the Giveaway, winner selection, prize delivery, and as otherwise permitted by our Privacy Policy.
9.2. All personal data will be processed in accordance with the Promoter’s Privacy Policy (https://releaso.io/privacy-policy/) and the General Data Protection Regulation (GDPR).
9.3. The Promoter will take appropriate technical and organizational measures to protect personal data.
9.4. Personal data will not be used for direct marketing purposes unless explicit consent is obtained from the Participant. Winner’s social media handle might be announced publicly with their prior consent.
10. Disclaimers and Limitations of Liability
10.1. The Promoter is not responsible for any technical malfunctions, network issues, lost, late, incomplete, illegible, misdirected, or undeliverable entries, or errors that may affect the Giveaway.
10.2. The Promoter reserves the right to modify, suspend, or cancel the Giveaway at any time without prior notice due to any reason beyond its reasonable control, or if it believes, in its sole discretion, that the Giveaway cannot be conducted as planned (e.g., due to fraud, technical failures, or any other causes). Any changes will be communicated on the Promoter’s social media channels or on this T&Cs page.
10.3. To the fullest extent permitted by law, the Promoter (including its officers, employees, and agents) excludes all liability for any3 loss or damage whatsoever (including but not limited to indirect or consequential loss) or for personal injury suffered or sustained4 in connection with participation in the Giveaway or the acceptance or use of the Prize.
10.4. Risk Warning: Cryptocurrencies, including stablecoins like USDС, are subject to market risks and high volatility. Their value can go up or down, and you could lose a significant portion or all of your investment/prize value. Past performance is not indicative of future results. This Giveaway and the Prize do not constitute financial, investment, or tax advice. Participants should seek independent financial advice if necessary.
10.5. Participants are solely responsible for complying with all applicable local, state, national, and international laws and regulations, including any tax obligations arising from receiving the Prize.
10.6. The Promoter is not responsible for any actions of participants or winners, or for any disputes between participants.
11. Governing Law
11.1. These T&Cs shall be governed by and constructed in accordance with the laws of the Republic of Lithuania.
11.2. Any disputes arising from or in connection with these T&Cs or the Giveaway shall be subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania.
12. Miscellaneous
12.1. This Giveaway is in no way sponsored, endorsed, or administered by, or associated with, Instagram or X (Twitter). Participants release Instagram and X (Twitter) from any and all liability related to this Giveaway.
12.2. The Promoter reserves the right to disqualify any participant found to be tampering with the entry process or the operation of the Giveaway, or to be acting in violation of5 these T&Cs or in an unsportsmanlike or disruptive manner.
12.3. If any provision of these T&Cs is found to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.6
12.4. The Promoter’s failure to enforce any term of these T&Cs shall not constitute a waiver of that provision.
